Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CLaiMB.ai website, platform, and related services (collectively, the "Services") provided by CLaiMB.ai ("CLaiMB," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

By accessing or using our Services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

CLaiMB.ai provides an AI Strategy Intelligence Platform, including the proprietary AIMRI (AI Maturity and Readiness Index) assessment framework, benchmarking tools, transformation roadmap generation, and related advisory and analytical services. The specific features available to you depend on your subscription plan and service agreement.

To access certain features of the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

The Services, including the AIMRI framework, assessment methodologies, benchmarking models, software, content, trademarks, and all related intellectual property, are owned by CLaiMB.ai and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

You may not copy, modify, distribute, reverse engineer, or create derivative works of any part of the Services without our prior written consent.

You retain ownership of data you submit to the platform, including AIMRI assessment responses and organizational information ("Your Data"). By submitting Your Data, you grant CLaiMB.ai a limited license to use it for the purpose of providing the Services, including generating assessments, benchmarks, and recommendations.

We may use aggregated, anonymized data derived from assessments to improve our benchmarking models and Services. Such aggregated data will not identify you or your organization. For more information, see our Privacy Policy.

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Transmit any harmful, fraudulent, or deceptive content
• Attempt to gain unauthorized access to the platform, other accounts, or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Resell, sublicense, or redistribute the Services without our prior written authorization
• Use automated means (bots, scrapers, etc.) to access the Services without permission

Certain Services require a paid subscription. Payment terms, pricing, and billing cycles will be specified in your service agreement or order form. All fees are non-refundable unless otherwise stated in your agreement. We reserve the right to modify pricing with 30 days' notice.

Both parties agree to maintain the confidentiality of any proprietary or confidential information exchanged in connection with the Services. This obligation survives termination of these Terms. Enterprise clients may request additional confidentiality terms through a separate NDA.

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. CLaiMB.ai does not guarantee that the Services will be uninterrupted, error-free, or that results will meet your specific requirements.

AIMRI assessments, benchmarks, and roadmaps are analytical tools intended to inform strategic decisions. They do not constitute professional advice, and CLaiMB.ai is not responsible for decisions made based on the output of the platform.

To the maximum extent permitted by law, CLaiMB.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with these Terms or your use of the Services.

Our total aggregate liability shall not exceed the amounts paid by you to CLaiMB.ai in the twelve (12) months preceding the claim.

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you breach these Terms or if we determine, in our sole discretion, that such action is necessary to protect the platform or other users.

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall do so, including intellectual property, confidentiality, disclaimers, and limitation of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Alameda County, California.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms on our website with an updated effective date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
